Terms and Conditions

  1. These Terms apply to you and to us when you use our Donation Services. By using or downloading the Donation Services, you agree that you accept these Terms, and will only use the Donation Services in accordance with these Terms.
  2. In these Terms, when we talk about “EasyGiving”, “us” “our” or “we” we mean Easy Giving Limited, a New Zealand owned and registered Company.
  3. When we refer to “you”, “your” or the “Donor” we mean the individual or organisation that is making a donation and using the Donation Services. Except where defined in the body of these Terms, capitalised expressions have the meaning set out in the Glossary.
  4. Because of technological, legal, operational and service requirements we may need to update and amend these Terms from time to time. If we amend these Terms, we will provide you with a reasonable notice period (the notice period may depend on the likely impact that the amendment will have on you) by emailing you at an email address that you have provided us, or by notifying you through the Donation Services.  If you do not accept any amendment to these Terms, there will be no penalty; however, you may not use the Donation Services after the effective date of the amendment.
  1. The Donation Services are provided through an online platform managed and operated by EasyGiving to help facilitate and administer Donations made by you to a Charity listed on our Website/App.
  2. EasyGiving is not responsible for any Charity, the use (or misuse) of your Donation by any Charity, or any representations, acts or omission of any Charity.
  3. To the extent permitted under law, EasyGiving does not make any warranty that the Donation Services or the Website/App will be continuous, error free or uninterrupted. EasyGiving will not be liable for any loss of or corruption of data or other information that occurs as a result of your use of the Website or the Donation Services.
  1. As a valued customer we will always endeavour to treat you with the utmost respect and work with you if any issues arise, to find a mutually acceptable solution. At any point you may 'opt out’ from our Donation Services (See Termination Clause). We will:
    1. store and protect any personal information that we collect about you as per our Privacy Policy;
    2. not send you unsolicited emails about our promotions unless you have indicated that you would like us to send you promotional emails in your Communication Preferences, however we will need to send you service and customer support related emails (even if you have unsubscribed from receiving promotional emails); and
    3. act to meet our obligations under the Consumer Guarantees Act, Fair Trading Act and Advertising Standards Authority Guidelines.

If you wish to access and receive the Donation Services you must complete the registration process on our Website and create a Donor Account.  You may only create a Donor Account if you:

  1. are at least 18 years of age (in the case of an individual);
  2. are acting on behalf of any entity, that you are properly authorised to act for that entity and that entity is properly formed and recognised under New Zealand law;
  3. you are resident in New Zealand;
  4. you provide accurate, complete and truthful information as required by the registration and Donor Account creation process; and
  5. provide a valid email address and password and, subject to the provisions contained in our Privacy Policy, you consent to us contacting you about your Donor Account (including to verify any details that you have provided to us) or the Donation Services.
  1. You may choose to make a Donation using either a valid credit or debit card. Your donation will be processed and transferred to the charity you selected within 1 business day of EasyGiving receiving the funds.
  2. The minimum Donation amount is $1 and all donations are processed in New Zealand dollars. The business name that will appear on your statement will be EasyGiving.
  3. Except in relation to any unauthorised transaction, Donations are non-refundable and non-transferable.
  4. Your Donation payment is processed through a third party payment processor and is subject to the policies (including the privacy policy) and terms of that third party payment processor. Beyond any obligations as a merchant which we are not able to exclude, EasyGiving assumes no responsibility for such transactions.
  5. If your credit card has been used to make an unauthorised Donation, any terms relating to unauthorised transactions from your credit/debit card issuing bank, and/or the third party payment processor will apply.  EasyGiving will not be responsible for arranging any refunds.  Please contact EasyGiving as soon as you become aware of the unauthorised transaction, so we may notify the Charity that there has been an unauthorised transaction.
  1. We do not charge you a fee when you donate. EasyGiving provides the platform and pays for all transaction and merchant fees. Charities and philanthropic organisations are invoiced a small service fee of 7% (plus GST) for partnering with EasyGiving.
  1. EasyGiving (or its service providers and licensors) owns all Intellectual Property in and to the Donation Services, the Website and any software or other material underlying and forming part of the Donation Services and the Website.
  2. Unless you obtain our prior written approval you must not use, adapt, reproduce, store, distribute, publish, broadcast, display or create derivative works from any part of the Website or the Donation Services.
  3. When using the Donation Services, if you are using EasyGiving software, tools or applications, we grant you a limited, non-exclusive, non-transferable licence to access and use those software, tools or applications only as required for your use of the Donation Services and as expressly permitted in these Terms. We reserve all right, title and interest not expressly granted under these Terms to the fullest extent possible under applicable laws.
  1. All service and customer support related emails will be sent to the email address that you provide to us when you register for our Donation Services. If your email address or other contact details change, you must contact us to provide your updated details.
  1. Our Privacy Policy will apply to any personal information that we collect about you in relation to the Donation Services, and when you accept these Terms you agree, and authorise Easy Giving to collect, store, use and disclose your personal information in accordance with our Privacy Policy and in accordance with your Communication Preferences.
  2. You are responsible for keeping your personal login information for the Donation Services safe, private and secure at all times. This means:
    1. not allowing any other person to use your login information; and
    2. not disclosing, or sharing your login information with any other person.
  1. On the completion of a successful donation, two types of receipts can be generated as part of the Donation Services:

    1. a donation tax receipt (Tax Receipt); and
    2. a transaction receipt (Standard Receipt).
  2. You will be emailed a Standard Receipt for every Donation that you make via the Donation Services.
  3. Where the Donation is made to a Verified Payee (whether or not that Verified Payee has ‘Approved Donee Status’), a donation Tax Receipt is generated and held by EasyGiving. Should you choose to request for a copy of your tax receipt, this will be emailed to you.
  1. We reserve the right to reject any application for registration for the Donation Services, or terminate the use the Donation Service without cause at any time. Without limiting this clause 11, we may terminate your use of the Donation Services if:
    1. you breach any of these Terms;
    2. you attempt to log in as another person;
    3. we receive a substantiated and valid complaint about you, and your misuse of the Donation Services;
    4. we consider any conduct by you (whether or not that conduct is related to the Donation Services) puts another person, a Charity or the Donation Services at risk;
    5. your conduct may, in our reasonable opinion, bring into disrepute or adversely affect the reputation or image of EasyGiving or any Charity;
    6. we, in our reasonable opinion deem your behaviour as unacceptable; or
    7. you use the Donation Services for a fraudulent or unlawful purpose, transaction and/or activity.
  2. You may terminate your use of the Donation Services at any time for any reason without any penalty.
  1. We may, at any time and without notice, withhold approval or suspend your access or use of any part or all of the Donation Services:
    1. for such time as is necessary for any system maintenance or upgrades determined by us to be necessary from time to time and, where possible, after giving you as much advance notice as is reasonably practical in the circumstances;
    2. as required to do so, as a result of a direction from any government, law enforcement or other authority; and/or
    3. if you breach these Terms.
  2. Your obligations under these Terms shall continue to apply through any suspension, and EasyGiving will not be liable for any costs, losses or other damages that you suffer due to any suspension of the Donation Services.

From time to time EasyGiving may need to monitor or audit activity that is related to your (and/or others) use of the Donation Services and our Website to ensure compliance with these Terms.  EasyGiving reserves the right to:

  1. review, audit and monitor (manually or through automated means) your use of the Website and the Donation Services;
  2. take any action that we deem appropriate in accordance with our policies, this may include suspending your use of the Donation Services, or in the case of any illegal, or suspected illegal activity, report any matters to the appropriate authority; and
  3. access, collect and disclose your use of the Donation Services in order to comply with any legal process, enforce these Terms, respond to any claims or complaints about your use of the Donation Services or our Website, respond to your customer service requests, or protect the rights, property and safety of us, the public or any other user of our Donation Services or Website.

Your feedback is important to us. You can contact us via our Live Chat window or write to us if you think we've made a mistake or if you are not satisfied with our Donation Services.

  2. We will review all feedback and complaints submitted within 48 hours and contact you if required.

Neither party has any liability to the other for any lack of performance, unavailability or failure to comply with these Terms (including in relation to EasyGiving failure to provide the Donation Services)  where the same arises from any cause reasonably beyond the control of that party.

If either party does not exercise or enforce any rights available to it under these Terms, that does not constitute a waiver of those rights.

If any provision contained in these Terms is held to be invalid or unenforceable by any judicial or other competent authority, all other provisions of these Terms will remain in full force and effect and will not in any way be impaired.

You may not assign, subcontract and/or transfer any of your rights under these Terms.

These Terms are governed by New Zealand law, and you agree that the courts of New Zealand shall have non-exclusive jurisdiction to settle any dispute which may arise out of or in connection with these Terms.

In these Terms, the following expressions have the meanings set out below:

  1. Approved Donee Status means Any organisation that
    1. has been approved as a donee organisation by the New Zealand Parliament, or
    2. sets up a separate fund maintained exclusively for providing money for charitable, benevolent, philanthropic, or cultural purposes within New Zealand.
  2. Charity means a registered charity under the Charities Act 2005 or a “donee organisation” as that term is defined in section YA 1 of the Income Tax Act 2007 that is listed on our Website.
  3. Communication Preferences means your communications preferences recorded against your user account.
  4. Donation means the act of transferring money to chosen charity using the EasyGiving services. Donation Services means the donation administration services provided by EasyGiving to you and does not include any payment processing services.
  5. Donor Account means a user account created in accordance with clause 4.
  6. Intellectual Property means any current and future intellectual property rights whether registered or unregistered, including copyrights, design rights, trademarks, trade names, domain names, rights in logos and get up, patents, inventions, confidential information and know-how, all rights in computer software, privacy, data and data bases.
  7. Standard Receipt means a standard receipt referred to in clause 10.
  8. Tax Receipt means a donation tax receipt that EasyGiving may generate in accordance with clause 10.
  9. Terms means these terms and conditions that apply between you (being the donor) and EasyGiving.
  10. Verified Payee means an entity or organisation which is registered with the charities commission and/or listed with Inland Revenue as an Approved Donee.
  11. Website means any EasyGiving Donation services platforms including website and/or mobile app.
